Wendy's rejects Trian-led $1.4 billion buyout offer and adopts shareholder rights plan
Wendy's independent board committee rejected a $1.4 billion take-private offer led by Nelson Peltz's Trian Fund Management, saying it substantially undervalues the company. The chain adopted a limited-duration shareholder rights plan (poison pill) that triggers if a person or group acquires 15% or more of shares. Trian and partners hold a 16.3% stake. Wendy's also reported weak third-quarter results with U.S. same-store sales down 5.7%.

The split, in one line
All five outlets lead with the rejected $1.4B bid and the poison pill; only the Globe and Mail and ABC add the weak Q3 sales context, while the wires and tabloids stick to the boardroom fight.
